Terms & Conditions

Please read these Terms & Conditions carefully before using our website or services. They outline important information about orders, appointments, production, payments, and client responsibilities.

1. General Information

1. DEFINITIONS
1.1. The following terms used in this Document shall have the following definitions:
- "Company" means CV. Casa Annie,
- "Customer(s)" means a Buyer(s) who purchase items from the Company,
- "Goods" means any item sold and/or delivered from the Company to the
Customer purchasing the items,
- "Provisions" means purchase order terms and conditions of CV. Casa Annie.


2. APPLICABILITY
2.1. Provisions in the terms and conditions apply to all CV Casa Annie purchase order
contracts.
2.2. No amendment, modification, waiver, and/or cancellation of any provisions on
this document are binding to CV. Casa Annie unless confirmed by the Company.
2.3. Customers acknowledge that none of the employees or agents of CV. Casa Annie
reserves the right to make any representation, warranties, or promises
concerning the Goods or the Purchase of Goods other than as stated in the Terms
and Conditions.
2.4. The payment of a 50% deposit indicates that the Customer agrees with the terms
and conditions.


3. SAMPLE MAKING
3.1. Before purchasing goods from CV. Casa Annie, every Customer must have a
sample for each style of goods ordered. Samples must be produced by the
Company.
3.2. The sample-making includes:
a. Dress patterns
b. Patterns with sizes
c. Samples of trial dress
d. Samples of trial color
e. Samples of trial print
f. Samples of products with the right material and color to be used in
production, and
g. Agreed samples
3.3. Any cost arising from the making of a sample following the Customer's wishes
will be charged to the Customer.
3.4. The Company will only carry out the production based on the agreed samples.
3.5. Each sample, whether it will be produced or not, will still be charged accordingly.
3.6. Before production, Customers should already designate the Name and Material
to be used in each agreed sample.
3.7. Customers may bring their Patterns.
3.8. Customers must ensure their patterns will facilitate CV. Casa Annie's Production
team in producing the goods.
3.9. Materials used for the production of a sample shall be provided by customers.


4. PRICING
4.1. Price is based on materials and accessories used, sewing techniques and methods
employed, and in line with the applicable regional minimum wage (UMR)
established by the Indonesian Government.
4.2. Production Price is the price agreed upon by both the Customer and the Company.
4.3. The sample price is 30% higher than its production price.
4.4. In the case of changes in production cost and pricing, the Customer will be
advised before the production commences.
4.5. The price shall not be altered before an agreement is reached between the
Customer and the Company.


5. PURCHASE ORDER LIST
5.1. A Purchase Order List is created by the Customer.
5.2. The Customer must ensure that the Style names, Colors, and Materials to be used
are listed on the Purchase Order List.
5.3. In one Purchase Order List, the minimum order for one Style is 15 (fifteen) pieces
and the maximum is 100 (one hundred) pieces.
5.4. The minimum and the maximum number of orders of any style can only be
amended with approval from CV Casa Annie.
5.5. Quantity cancelation of any style is allowed, providing its production process has
not started.
5.6. In the case of a cancelation of quantity occurs when the mentioned style is in
production, the resulting goods will still be charged accordingly.
5.7. The Company will only carry out the production of goods according to the agreed
samples. In the case of any alteration in a style that occurs during the production
period, an additional cost will be charged accordingly.
5.8. A Customer with a purchase order list above 1500 (one thousand five hundred)
pieces is not allowed to add more pieces to the list that is being processed until
the production is completed.
5.9. An additional order of the same goods that are in the production process is
allowed. The order will be placed on a new, separate list called “Additional
Purchase Order List”.
5.10. Materials provided by Customers are materials that have been paid in full to
vendors by the Customers.


6. PAYMENT
6.1. An Order will be processed only after the Company receives a deposit of 50% of
the total purchase value.
6.2. The payment period for the deposit is 14 (fourteen) working days at the latest
upon receipt of an Order Invoice from CV. Casa Annie. In the case of no payment
being made within the specified date, the Company will work on other Customers'
priorities.
6.3. The remaining payment of 50% will be billed after the production of goods is
completed, and goods are ready to be shipped.
6.4. Goods will only be shipped to the Customer after the Company has received the
remaining payment.
6.5. Installment-payment is allowed on condition that the Customer provides
personal data of their Passport, a scan of their company's Business Identification
Number (BIN) in Indonesia, guarantees equivalent to the total value of the order,
as well as signing an installment-payment agreement prepared by the Company.


7. PRODUCTION REPORTS
7.1. The Company is responsible to Customers for all reports related to the
production of goods.
7.2. These reports are:
a. The quantity of fabric received by the Company (if the fabric is provided by
the Customer),
b. The amount of fabric used/spent per style,
c. The remaining materials are still available,
d. Excesses of goods in the order list,
e. Insufficient materials to fulfill orders,
f. Constraints in material, i.e., materials are no longer available in Stores,
g. Production progress report,
h. Report of patterns, both new patterns and/or their alteration,
i. Sample progress report,
j. The list of goods ready to be shipped report, and
k. Payment report.
7.3. Apart from the reports mentioned above, other types of reports are not the
responsibility of the Company.
7.4. A fee will be charged for additional report/s other than those mentioned above.
8. TIME FOR SAMPLE MAKING AND PRODUCTION
The Company prioritizes the quality of every item it produces. Production time is influenced
by several factors, namely the availability of materials, the difficulty level of sewing, the
quality of workmanship of the coloring vendors, and the level of complexity of the goods
being produced which require extra time for thorough checking. Therefore, at the time of
production of each order, there will be continuous discussions between the Customer and
the Company to ensure the quality of the goods produced. The Company will follow the
schedules proposed by the Customer as long as the time requested is reasonable.
The time required for Sample making, if all fabrics and accessories required are available, is
7 (seven) working days at the latest.



9. SHIPMENT OF GOODS
9.1. Customers are free to seek and decide on a shipping company/agent to deliver
goods to locations designated by the Customers.
9.2. Customers are responsible for all shipping costs.
9.3. The Company is not responsible for any arrears in shipment payment created by
the Customer.
9.4. The Company is not responsible for any loss or damage of goods that occurs
during the shipment.
9.5. Shipping agents must follow the Company's business hours to collect goods for
shipment, namely, 08.30 – 16.00 Central Indonesia Time (GMT +8) from Monday
to Friday, and 08.30 – 12.00 Central Indonesia Time (GMT+8) on Saturday.
9.6. Goods will be handed over to the Shipping agent once CV Casa Annie receives the
remaining payment of 50% from the Customer.
10. PROVISIONS ON RETURNED GOODS
10.1. Customers will tolerate 10% of imperfect results in production.
10.2. Goods may only be returned with the approval of CV. Casa Annie.
10.3. The return of goods may be carried out if:
a. The goods are not in accord with the Purchase Order List
b. The goods are not in accord with the agreed samples and instructions.
c. The goods received by the Customer are incomplete, such as missing
accessories, etc., and
d. Such goods are still within 20 days after the Customer receives them.
10.4. Only goods that meet the four criteria above that will be compensated by the
Company, either in cash or in natura, according to the agreement between the
Customer and CV. Casa Annie.


11. STORAGE OF MATERIALS, GOODS, AND EXCESSES FROM PRODUCTION
11.1. Customers may store their goods, and/or unused materials at CV Casa Annie for
12 (twelve) months minimum.
11.2. Any unused, and/or leftover material from the production will be the property of
CV. Casa Annie when the Customer does not notify the Company on what to do
with the material in question within 2 (two) months after the production is
completed.
11.3. The storage fee is IDR 65,000/m2/month (sixty-five thousand rupiahs per square
meter per month.). An additional fee of Rp. 200,000 (two hundred thousand
rupiahs) will be charged annually for the care and maintenance of stored goods
and materials.
11.4. A storage fee will not be charged for materials that are still being used for
production.



12. SETTLEMENT OF DISPUTES
In the event of a dispute between the two parties that cannot be resolved amicably, the
settlement will be resolved through legal means, either by way of arbitration or through
Court.
If it is decided to be resolved through arbitration, both parties agree to use an Indonesian
arbiter from BANI. Any cost arising from this will be borne by the losing party based on the
arbitration result.
If it is decided to be resolved in Court, it will be the Court of Denpasar, the area where CV
Casa Annie is registered as a legal entity. Any cost arising from this will be borne by the losing
party based on the Court's decision.

2. Service Availability

All services are subject to availability, production capacity, material availability, and project requirements. Casa Annie Bali reserves the right to accept, decline, or reschedule projects based on production conditions.
